By submitting a text for translation, requesting an interpreter or submitting any other work and then agreeing to the quotation issued by BIZNET, the Client enters into a binding agreement with BIZNET covered by the following terms and conditions:
Definitions for Terms and Conditions
‘The Client’ refers to the individual, company or entity entering into a contract with BIZNET Professional Translation & Interpreting Limited (herein referred to as “BIZNET”).
‘Translation’ refers to any written source document provided by the Client to BIZNET for translation, editing, proofreading, transcribing and subtitling.
‘Interpreting’ means any oral assignment to be carried out in the form of simultaneous, consecutive, business or telephone interpreting or voiceover, either face-to-face or via video conference.
‘Quotation’ refers to the document sent to the Client by BIZNET containing the cost and estimated delivery date and which has been accepted in writing by the Client, thereby instructing BIZNET to proceed with the service outlined in the quotation.
TRANSLATIONS
Translator’s obligations:
The translator who has been assigned the task by BIZNET shall endeavour to meet any performance dates specified in the quotation, but any such dates shall be estimates only and may be subject to delay owing to terminology queries directed at the client or other such delays. Whilst BIZNET always endeavours to meet deadlines (and has an excellent reputation for doing so), BIZNET cannot be held responsible for the consequences of any delay for any reason whatsoever.
In the event of force majeur BIZNET is not liable for failure to deliver by the agreed delivery date.
Client’s obligations:
The client shall provide the translator with original materials and other material that the translator may reasonably require and should ensure that such material is accurate.
If the original text is under copyright, BIZNET can only agree to take on the assignment if the Client has obtained the translation rights from the copyright owners. Given that translations are also eligible for separate copyright, ownership of such copyright is only transferred to the Client upon receipt of full payment by BIZNET and the terms of the transfer have been agreed upon. In the event that the Client fails to pay the full amount for the translation, BIZNET is under no obligation to protect any copyright. BIZNET retains the right to keep a copy of the translation provided. The Client shall not hold BIZNET responsible for any infringement of copyright and/or translation rights or for any legal action which may arise therefrom.
The Client undertakes to make no attempt to establish any kind of arrangement with the translator(s) independent of BIZNET.
Confidentiality: All original source documents provided by the Client will be held in strict confidentiality by BIZNET and by the assigned translator(s) who will not disclose any information or use the document for any other purpose other than translation.
Quotation: BIZNET will submit a written quotation based on the length of the document, level of specialisation and format.
The Contract shall come into force on receipt of the Client’s written acceptance of BIZNET’s quotation.
BIZNET reserves the right to make an additional charge to the quotation if, after commencement of the translation, the Client wishes to make changes to the source text. Such additional charge shall be agreed with the Client.
Unless otherwise stated, prices are in Sterling and are exclusive of VAT and any other tax or duty. Price includes transmission to the address specified in our quotation. Quotations in a currency other than Sterling are based on the rate of exchange at the time of quoting and, unless otherwise stated, the cost of the translation may be subject to a higher or lower price if a different rate of exchange applies at the date of invoice.
Confirmation: Once the Client has given BIZNET written confirmation that they wish to proceed with the translation, the Client duly accepts the Terms and Conditions as outlined herein.
Limitation of Liability: The Client agrees to indemnify BIZNET and hold BIZNET exempt from any losses, claims, damages, expenses or liabilities (including legal fees) which the Client may incur in connection with any translation provided by BIZNET.
Cancellation: In the event of a cancellation of a confirmed translation assignment by the Client within one day of confirmation being given by the Client, 50% of the total cost outlined in the quotation shall be payable. Any cancellation by the Client more than one day following confirmation will be subject to 100% payment of quoted cost. In the event of a translation project being put “on hold” for whatever reason, the Client must resume the translation within eight working days. Failure to do so means we shall deem the translation cancelled and a charge of 100% of the total cost outlined in the quote shall be payable by the Client.
Complaints: BIZNET endeavours to provide high-quality and accurate translations at all times. In the unlikely event, however, that the translation provided does not meet your satisfaction BIZNET aims to redress the situation immediately. The client should inform BIZNET in writing, no later than 15 days after the actual delivery date outlining why they are not fully satisfied with the translation. BIZNET will then review said translation and will endeavour to remedy the situation free of charge or at a cost. All invoices issued will still need to be paid regardless of any pending reviews/complaints.
Unfortunately, BIZNET cannot accept any complaints beyond 15 days from actual delivery date.
Miscellaneous: BIZNET shall bear no responsibility for changes made to translations by the Client or any third party following delivery by BIZNET of the completed translation.
Invoicing and payment: As mentioned above, prices are in Sterling (unless expressly stated in the quotation). With respect to quotations in currencies other than Sterling, BIZNET reserves the right to adjust the price in the event of a change in the exchange rate at the date of invoice.
Payment should be made within 30 days from the date of invoice. Any queries relating to the final invoice must be made within ten business days from the receipt of invoice by the Client.
Where the work is being provided in stages and/or over a period of time exceeding 60 days, BIZNET reserves the right to invoice the Client upon completion of each stage of the work or at monthly intervals.
Failure to pay any invoice in accordance with the present terms and conditions, or other terms specified between the Client and BIZNET, shall entitle BIZNET to suspend further work on either the present assignment or any other assignment from the Client without prejudice to any other right BIZNET may have.
Unresolved disputes: Such situations arising due to quality, accuracy or payment shall be under the jurisdiction of a court in England and subject to the laws of England. Any costs arising from the legal process shall be borne by the party which the court decision favoured against. In the event of contracts existing in different languages, the English language version shall be binding to both parties.
INTERPRETERS
For the purposes of these Terms and Conditions, “interpreting” means spoken or oral translation (simultaneous, consecutive, business or telephone, etc.) and may be performed on site (with or without equipment) or remotely.
Confidentiality: All original document(s)/background information provided by the Client will be held in strict confidentiality by BIZNET and the assigned interpreters who will not disclose any information or use the document(s)/background information for any other purpose other than preparation for the interpreting assignment.
Interpreters shall at no time disclose to any third party any information not in the public domain which comes to their knowledge as a consequence of an interpreting assignment.
Quotation: BIZNET will submit a written quotation for the Client’s prior approval.
The interpreter’s fee shall be charged per hour (with a minimum of three hours) or per day according to prior agreement. Work outside normal working hours (9.00 am to 5.00 pm) shall be subject to an extra charge.
Travel and accommodation costs will be either organised by the Client or by BIZNET but all reasonable costs will be met by the Client (unless otherwise specified in the quotation).

Interpreter’s obligations:
Interpreting is a subjective matter and BIZNET interpreters endeavour to use the most appropriate terms. If, however, the Client has a preferred set of terms they should inform BIZNET beforehand and the interpreter shall endeavour to use such terms during the assignment.
In the event of force majeur preventing the interpreting from reaching the location where the interpreting event is to be held, BIZNET is not liable for failure to provide interpreting services.
Client’s obligations:
The client shall make any background material available to the interpreter as soon as possible to enable the interpreter to prepare for the event. The Client undertakes to make no attempt to establish any kind of arrangement with the interpreter(s) independent of BIZNET.
Cancellation:
The following cancellation fees for interpreting assignments apply:
- No fee shall be payable if the assignment is cancelled at least three months in advance of the scheduled start date
- 25% of the fee shall be payable if the assignment is cancelled less than three months before the scheduled start date
- 50% of the fee shall be payable if the assignment is cancelled less than fourteen days before the scheduled start date
- 100% of the fee shall be payable if the assignment is cancelled less than forty-eight hours before the scheduled start date
Satisfaction with services:
If no complaint relating to the interpreting services is received within three working days following the event, then the Interpreting Assignment shall be deemed satisfactory.
